OFFICERS

Manfred Gingl
Chairman and Chief Executive Officer

Mr. Gingl is the Chairman and Chief Executive Officer of Tesma and the Executive Vice Chairman and a director of Magna International Inc. ("Magna"). From February 1995 to May 2002, Mr. Gingl also served as the President of Tesma. Between June 1993 and February 1995, Mr. Gingl served as Managing Director of Blau International Ges.m.b.H. and as President of Blau Autotec Inc., two companies which developed and supplied automotive fueling and cooling components and which were acquired by Tesma in July 1995. Prior to June 1993, Mr. Gingl served as President and Chief Operating Officer (since December 1981) and Chief Executive Officer (since April 1988) of Magna, during which time he coordinated Magna's strategy of becoming a world-class "systems" supplier to the automotive OEMs and established Magna's operating groups (now systems corporations) which are organized on a product line basis.

Anthony E. Dobranowski
Vice Chairman and Chief Financial Officer

Mr. Dobranowski was appointed Vice Chairman in May 2004. He served as the President of Tesma (May 2002 - May 2004) and has served as Tesma's Chief Financial Officer since March 1995. Prior to that time, Mr. Dobranowski served as the Executive Vice President, Finance and Treasurer of Atoma International Inc. ("Atoma") since September 1991. Atoma, which is now known as Intier Automotive Inc., is a public company affiliate of Tesma and a major supplier of seating, interior panels, hardware and door systems to the global automotive industry. From March 1986 to September 1991, Mr. Dobranowski held various senior financial positions within Atoma and its operating groups. Mr. Dobranowski holds an MBA from the University of Toronto and is also a Chartered Accountant.

Klaus Blickle
President

Dr. Blickle was appointed President of Tesma in May 2004. Prior to joining Tesma, Dr. Blickle served as the Chief Technology Officer and President of Total Vehicle Integration for ASC Incorporated since 2001. Between 1992 and 2001, Dr. Blickle was employed in various senior management positions by Audi AG, including CEO of Audi's Cosworth Technology subsidiary in the United Kingdom (1998 - 2001), Executive Managing Director for Audi's joint ventures in China (1997 - 1998); Executive Director of Audi's "Dolphin" re-engineering project (1996 -1997), and Executive Director of the Audi Group Engine Test Facilities (1992 - 1996). Prior to 1992, Dr. Blickle held various executive positions in a number of manufacturing and engineering companies in Germany (Jafo Technologies of the Blohm & Voss Group 1988 - 1992; Bramlage GmbH subsidiary of Gerresheimer Glas AG 1988; Buderus Sell GmbH and its predecessor the Sell Aviation Division of Buderus AG 1985 - 1988). Dr. Blickle holds a Doctorate in Natural Sciences (Thermodynamics and Constitution of Binary and Ternary Alloying Systems) and a Master of Science in Physics (Thermodynamics, Powertrains and Process Engineering) from the University of Stuttgart in Germany.

James L. Moulds
Vice President, Finance and Treasurer

Mr. Moulds has been Tesma's Vice President, Finance and Treasurer since September 2002. From August 1995 to May 2002, Mr. Moulds was Tesma's Vice President, Finance and Controller. Prior to August 1995, Mr. Moulds was employed in Magna's Finance Department since April 1994. Mr. Moulds, a Chartered Accountant, also worked in various public accounting and auditing capacities with Ernst & Young LLP from September 1990 to April 1994.

Stefan T. Proniuk
Vice President, Secretary and General Counsel

Mr. Proniuk has been Tesma's Vice President, Secretary and General Counsel since March 1995. Prior to that time, he was a partner in the Toronto law firm of Crossley Mann since February 1993. From September 1992 to January 1993, Mr. Proniuk provided consulting services to an automotive parts and components supplier in which Magna held a minority interest. From January 1988 to August 1992, Mr. Proniuk was Vice President, Secretary and General Counsel of Cosma International, Magna's wholly-owned metal body and structural systems operations and the automotive industry's premier independent metal forming supplier.

Thomas More
Controller

Mr. More has been Tesma's Controller since September 2002. From February 2001 to September 2002, Mr. More was Tesma's Assistant Controller. Prior to February 2001, Mr. More was the Controller at two privately-held non-automotive companies since February 1999. Mr. More, a Chartered Accountant, also worked in various public accounting and auditing capacities at Ernst & Young LLP from September 1994 to February 1999.

Karl H. Steinbauer
Vice President , Manufacturing

Mr. Steinbauer has been Tesma's Vice President, Manufacturing since January 2004. Prior to January 2004, he was the General Manager of the "light metals" divisions of Tesma (Toral Cast - Integrated Technologies, Toral Cast - Light Metal Technologies and Tesma Tooling Technologies). From December 1999 to July 2001, he served as the Vice President, Operations of Tesma and from November 1995 to November 1999 was the General Manager of the Toral Cast division of Tesma. Prior to his employment at Tesma, he held various positions in the fields of Engineering, Quality, Tooling and Manufacturing in the European automotive industry from December 1979 to October 1995.

Richard S. MacDonald
Senior Vice President , Sales and Marketing

Mr. MacDonald became Vice-President, Sales and Marketing of Tesma in July 2004. Prior to that time, he served as Vice President Advanced Marketing and Business Development at Magna International and Magna Advanced Technologies since February 2003 and Magna Steyr's North American operations, Executive Vice President Sales, Marketing and Planning since August 2001. From June 1999 through July 2001, Mr. MacDonald served as the Vice President Sales, Marketing and Planning for Magna Europe. From September 1985 through May 1999, Mr. MacDonald held various progressive sales and marketing positions within the Magna organization.
